GENERAL TERMS AND CONDITIONS OF SALE
PREAMBLE
The training organization TALENTSD’OR ACCADEMIA, SIRET 882 369 234 00019, with its registered office at 66 Avenue des Champs-Elysées 75008 PARIS, organizes and provides professional training courses. Its training provider activity is registered with the DIRECCTE Ile-de-France under number 11 75 60 63875 ; this registration does not constitute state approval. The Client’s signature of these General Terms and Conditions of Sale (hereinafter “GTC”) implies their full acceptance. The GTC prevail over any other document of the Client, and in particular over all general terms and conditions of purchase, except for framework agreements or specific commercial agreements made with the client. Any other documents from TALENTSD’OR ACCADEMIA such as brochures, catalogs, have only indicative value. The fact that TALENTSD’OR ACCADEMIA does not invoke, at a given time, any of these conditions, cannot be interpreted as a waiver to invoke them subsequently.
1 – REGISTRATION
You have the possibility to register by phone at +33 1 43 98 96 88 or by email to contact@talentsdoraccademia.com or by postal mail at the following address: TALENTSD’OR ACCADEMIA – 66 Avenue des Champs-Elysées 75008 PARIS. Your registration will be considered upon receipt of the training agreement or contract as well as these GTC duly signed and stamped with the company seal (if possible). For distance learning courses, it is the participant’s responsibility to ensure the proper configuration of their computer equipment before the training within the specified deadlines.
2 – CANCELLATION – REPLACEMENT
To be taken into account, any cancellation must be communicated in writing. Participant replacements are allowed at any time, free of charge, provided that TALENTSD’OR ACCADEMIA is informed in writing and that the names and contact details of the replacement(s) are provided no later than the day before the training. You have the option to cancel a registration free of charge provided that TALENTSD’OR ACCADEMIA is informed by registered letter with acknowledgment of receipt or by email with acknowledgment of receipt at contact@talentsdoraccademia.com received no later than fourteen [14] calendar days before the training date. In the event of cancellation received less than fourteen [14] calendar days before the training date (or the first module for a cycle or distance learning course), the full registration fee remains due to TALENTSD’OR ACCADEMIA. Any training session for which the participant did not show up or only partially attended is fully due.
3 – RATES – PAYMENT
All prices are exclusive of taxes. They will be increased by the applicable duties and taxes. Our prices include training, educational documentation provided during the training, and electronic files made available if applicable. For any questions regarding our pricing conditions, do not hesitate to contact our Customer Service by phone at +33 1 43 98 96 88 or by email to contact@talentsdoraccademia.com Unless otherwise agreed, full payment must be made before the start of the training, in cash and without discount upon receipt of the invoice. In the case of payment made by an OPCO (Joint Collection and Payment Organization), the financing agreement from your OPCO must reach us before the 1st day of the training. If TALENTSD’OR ACCADEMIA has not received the financing agreement, you will be invoiced for the full cost of the training. In the event of partial coverage by the OPCO, 1 the portion not covered will be invoiced directly to you. Any invoice not paid by the due date will automatically accrue interest at the interest rate applied by the European Central Bank to its most recent refinancing operation plus 10 (ten) points. In the event of non-payment of a single invoice by its due date, the entire amount owed by the Client will become immediately due. Any invoice recovered by our legal services will be increased, as a non-reducible penalty clause within the meaning of Article 1229 of the Civil Code, by a fixed indemnity of 15 (fifteen) % of the amount due.
4 – LIABILITY – INDEMNITIES
The employer, or where applicable the participant, undertakes to take out and maintain in anticipation and during the training period a liability insurance covering bodily, material, immaterial, direct and indirect damages that may be caused by its actions or those of its agents to the detriment of TALENTSD’OR ACCADEMIA or the participants. It also undertakes to take out and maintain a liability insurance also designating TALENTSD’OR ACCADEMIA as insured for any actions detrimental to third parties that may have been caused by its agent, and containing a waiver of recourse clause, so that TALENTSD’OR ACCADEMIA cannot be sought or troubled.
5 – RIGHT OF CONTROL OF THE NATIONAL CONSUMER INSTITUTE
TALENTSD’OR ACCADEMIA reserves the right, if the number of participants in a training course is deemed insufficient from an educational standpoint, to cancel this training course no later than fourteen [14] calendar days before the scheduled date. TALENTSD’OR ACCADEMIA reserves the right to postpone the training, change the location of its delivery, alter the content of its program, or replace a facilitator if circumstances beyond its control require it. TALENTSD’OR ACCADEMIA reserves the right, without any indemnity of any kind:
– To refuse any registration or access to a Client who is not up to date with their payments
– To exclude any participant who has made false statements during registration
– To exclude any participant exhibiting inappropriate behavior that disrupts the smooth running of the training
6 – INTELLECTUAL PROPERTY
In compliance with the intellectual property rights attached to the content, course materials, or other educational resources made available exclusively to training participants, the Client undertakes not to reproduce, directly or indirectly, in whole or in part, adapt, modify, translate, represent, commercialize, or distribute said materials and educational resources to members of their non-participant staff or third parties without the express, prior, and written authorization of TALENTSD’OR ACCADEMIA or its rights holders. TALENTSD’OR ACCADEMIA retains ownership of the content of the service materials, individual and group coaching, and studies as well as all products and services attached to training programs, both in principal and accessory.
7 – DATA PROTECTION AND PRIVACY
TALENTSD’OR ACCADEMIA undertakes that the collection and processing of your personal data, carried out from the XXXX website, comply with Law No. 78-17 of January 6, 1978, as amended, relating to data processing, files, and freedoms (known as the “Data Protection Act”) and Regulation (EU) No. 2016/679 of April 27, 2016, known as the “General Data Protection Regulation” (or “GDPR”), updated version of May 25, 2018. This policy describes how TALENTSD’OR ACCADEMIA undertakes to collect, use, and protect your personal data. 8 – APPLICABLE LAW – JURISDICTION. THIS AGREEMENT IS GOVERNED BY FRENCH LAW.
In the event of a dispute over the interpretation or performance of any of these provisions, and failing an amicable agreement between the parties, the Commercial Court of Paris at 1 quai de la Corse 75181 Paris, shall have sole jurisdiction.
